Anyone here ever have a foreign cofounder that wanted to register in the US? I was approached by CTO for a position and became their cofounder and want to register the business in the US. I want them as legally liable as myself. I don't want to pitch or make any moves without their name on paper as well.
Please let me know if you have had a foreign cofounder and how you went about it. I think this question is excellent since so many people seek out US biz partners.

As our Company is registered and based in the UK, Chief Co-founders names are listed in Companies House UK (as Directors).

Whoever answers questions. Please don't talk about a company outside the US for one. Number two, don't talk about hiring an attorney. This goes without saying. I'm asking those who have had experience and what they did.
Liability and regulation depend on many factors. You are best to seek the advice of a competent attorney who can draft the type of agreement addressing all of your concerns. Incorporation is about separating personal and business liability, so you need to do it right. You're likely talking about two different things: incorporation and ownership responsibilities. Your operating agreement will define some, and the structure you use to establish your corporate entity will define the remainder. I am not an attorney, so don't take my advice directly. Speak to an actual attorney, especially since you already have concerns.
